ATTENDEE TERMS AND CONDITIONS
By registering for or attending this event, you agree to the following terms.
In plain terms: Real Estate Publishing Corporation ("REPC") is a media, publishing, and events company hosting the Event. The Presenting Firms have paid REPC a fixed fee to participate. REPC does not recommend any Presenting Firm or investment and has not performed investment, legal, regulatory, financial, or reputational due diligence on any Presenting Firm, presenter, or offering. REPC may perform limited administrative review for event-planning purposes, but that review is not due diligence or verification. REPC does not represent any Presenting Firm or attendee and provides no investment, legal, tax, accounting, or financial advice. Any decision to communicate, do business, or invest with anyone you meet through the Event is yours alone.
1. Agreement. These Attendee Terms and Conditions ("Terms") are an agreement between you ("you") and Real Estate Publishing Corporation ("REPC") governing your registration for and attendance at the event currently titled The Private Investor Forum, scheduled for October 22, 2026 at The Club at Golden Valley, Golden Valley, Minnesota, including its reception, dinner, presentations, and networking, however the event may later be named (the "Event"). By registering for or attending the Event you accept these Terms. If you register a guest, you represent that you are authorized to accept these Terms on the guest's behalf and will provide the guest a copy.
2. REPC's Role. REPC is a media, publishing, and events company whose business is publishing and selling advertising and event participation. REPC's sole role in the Event is to organize, promote, and host a gathering at which certain companies (each a "Presenting Firm") present information about themselves and at which attendees may interact with Presenting Firms and with one another. Each Presenting Firm has paid REPC a fixed fee to participate. REPC's compensation is not contingent on, and does not vary with, any transaction, investment, or relationship that may result from the Event. If REPC refers to a Presenting Firm as an "Event Sponsor," that term is a commercial event label indicating only that the firm paid to participate in the Event. It is not a recommendation or endorsement by REPC. A Presenting Firm may separately be an issuer, sponsor, manager, general partner, adviser, or other participant in an investment; any such role arises solely from the firm's own activities and governing or offering documents, not from the "Event Sponsor" label.
3. No Recommendation or Endorsement. REPC does not recommend, endorse, approve, rate, rank, certify, or vouch for any Presenting Firm, presenter, attendee, or any investment, security, fund, property, strategy, product, or service discussed at or in connection with the Event. Presenting Firms were included because they agreed to pay the participation fee and suited REPC's event-planning considerations, such as variety of asset class and availability, not because of any evaluation of their quality, merit, performance, suitability, or integrity. Descriptions of Presenting Firms in REPC's marketing and Event materials, including years in operation, asset classes, size, or property counts, were supplied by the Presenting Firms, have not been verified by REPC, and are not endorsements. A Presenting Firm's presence at the Event, and the Event's association with REPC's publications, signify no opinion by REPC about that firm.
4. No Investment Due Diligence. REPC has not conducted and will not conduct investment, legal, regulatory, financial, or reputational due diligence on any Presenting Firm, presenter, attendee, offering, investment, product, or service.
REPC may perform limited administrative review for event-planning purposes, including confirming contact information, selecting participants based on subject matter, availability, or event fit, and
reviewing materials for timing, format, or compliance with Event policies. Any such review is not due diligence, verification, approval, or endorsement and may not be relied upon as such.
REPC does not independently verify licensing or registration status, regulatory or disciplinary history, financial condition, track record, ownership, litigation history, offering terms, accreditation status, or the accuracy of any statement or registration information.
5. No Agency or Representation. REPC does not represent, act as agent for, or act on behalf of any Presenting Firm, presenter, or attendee, and none of them is authorized to act on behalf of REPC. Nothing in these Terms or the Event creates any agency, fiduciary, advisory, brokerage, finder, partnership, joint venture, or employment relationship between REPC and any person. REPC may facilitate general networking and make social or logistical introductions among Event participants. REPC does not screen, select, match, or refer participants based on their investment objectives, suitability, or the merits of any investment; recommend or select investments; advise anyone whether to invest; negotiate or structure transaction terms; collect subscription documents; handle funds or securities; or participate in the execution or closing of any investment transaction. REPC receives no commission, finder's fee, referral fee, carried interest, or other compensation contingent on or measured by any investment or transaction.
6. No Advice; No Offer by REPC. REPC is not a registered investment adviser, broker-dealer, bank, law firm, accounting firm, or other licensed professional and does not give investment, legal, tax, accounting, or financial advice. Nothing said, displayed, distributed, or made available by REPC at or in connection with the Event is such advice, a recommendation, or an offer to sell or a solicitation of an offer to buy any security, interest, or investment. General or educational information about real estate investing, deal structures, or tax treatment presented at the Event is for informational purposes only, may not apply to your circumstances, and may be incomplete or outdated. Consult your own attorney, accountant, and financial advisor before making any decision.
7. Presenting Firm Content. Each Presenting Firm and presenter is solely responsible for its own presentation, materials, and statements, for any offering or solicitation it may make, and for its own compliance with applicable law. REPC may review presentation materials for scheduling, length, format, or compliance with Event policies, but it does not independently verify, approve, adopt, or control the substance of any presentation, offering, statement, or material. Any administrative review by REPC is not investment, legal, regulatory, financial, or reputational due diligence and should not be relied upon as such. Presenters' views are their own, not REPC's. Any communication, negotiation, relationship, or transaction between you and a Presenting Firm, presenter, or other attendee is solely between you and that party.
8. Your Responsibility; Assumption of Risk. You are solely responsible for any decision, communication, relationship, agreement, transaction, or investment you enter into or pursue with any person you meet at or through the Event, during or after the Event, and for conducting your own investigation and due diligence first. You acknowledge that all investments involve risk, including the possible loss of the entire amount invested; that past performance does not indicate future results; that private real estate investments are typically illiquid; and that REPC has made no representation about any of these matters. You also assume all risks of attending an in-person event at which food and alcoholic beverages are served, including personal injury, illness, property loss, and travel, and you are responsible for your own conduct and safe transportation.
9. Eligibility and Registration Information. The Event is intended for individuals who meet the definition of "accredited investor" under Regulation D of the Securities Act of 1933 and for their
invited advisors and guests. You represent that all information you provide in registration is true and accurate. REPC relies on self-reported information, does not verify it, and may decline or cancel any registration or admission in its sole discretion.
10. Your Information. REPC will collect and use the information you provide to administer and secure the Event, communicate with you about the Event, maintain registration and attendance records, and communicate with you about REPC's publications and future events, in accordance with applicable law and REPC's Privacy Notice available at [PRIVACY NOTICE URL].
As part of the Event, REPC may provide Presenting Firms with an attendee roster containing your name, company, and title. You may opt out of inclusion in the attendee roster by contacting [PRIVACY EMAIL] before the Event.
REPC will disclose your email address or any telephone number you provide to Presenting Firms only if you separately consent below. Presenting Firms are independent third parties and are responsible for their own communications and use of personal information. You may exercise applicable privacy rights or withdraw a consent by contacting [PRIVACY EMAIL].
Information you voluntarily provide directly to a Presenting Firm, presenter, or other attendee is outside REPC's control.
11. Photography and Recording. The Event may be photographed, filmed, and recorded. By attending, you consent to being photographed and recorded and grant REPC a perpetual, worldwide, royalty-free license to use your name, likeness, image, and voice as captured at the Event in REPC's publications, websites, social media, and promotional materials, without compensation or further approval.
12. Conduct. REPC may refuse admission to or remove from the Event any person whose conduct REPC considers disruptive, unlawful, unsafe, or inconsistent with the purpose of the Event, without liability. You may not record presentations, collect attendee information through automated, deceptive, or unauthorized means, distribute materials, or solicit attendees for any business, investment, product, or service without REPC's prior written consent. Presenting Firms and presenters may engage in activities expressly authorized by REPC as part of the Event. Nothing in this Section prohibits ordinary one-to-one networking consistent with the purpose of the Event and these Terms.
13. Changes and Cancellation. REPC may change the Event's date, time, location, format, program, presenters, or Presenting Firms, or cancel the Event, at any time and for any reason, without liability to you other than refund of any registration fee you paid to REPC. REPC is not responsible for travel, lodging, or other expenses you incur.
14. Disclaimer of Warranties. The Event and all associated information and materials are provided "as is" and "as available," without warranty of any kind, express or implied, including any warranty of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement.
15. Release; Assumption of Risk; Limitation of Liability. You acknowledge and voluntarily assume the risks described in Section 8.
To the fullest extent permitted by law, you, on behalf of yourself and, to the extent permitted by law, any person claiming by or through you, release, waive, and forever discharge REPC, its parents, subsidiaries, and affiliates, and each of their respective owners, officers, directors, employees, contractors, agents, successors, and assigns, together with the Event venue and its owners, operators, employees, contractors, and agents (collectively, the "Released Parties"), from any and
all claims, demands, causes of action, losses, liabilities, damages, judgments, costs, and expenses, whether known or unknown, arising out of or relating to:
(a) your registration for, travel to or from, attendance at, or participation in the Event;
(b) any interaction, communication, relationship, agreement, transaction, or investment involving any Presenting Firm, presenter, attendee, or other person encountered at or through the Event;
(c) any statement, presentation, material, food, beverage, service, condition, or activity at or connected with the Event; or
(d) any personal injury, illness, death, property damage, or property loss occurring at or in connection with the Event.
THIS RELEASE EXPRESSLY INCLUDES CLAIMS CAUSED, IN WHOLE OR IN PART, BY THE ACTIVE OR PASSIVE ORDINARY NEGLIGENCE OF REPC OR ANY OTHER RELEASED PARTY, INCLUDING THEIR OWN NEGLIGENT ACTS OR OMISSIONS.
This release does not apply to claims to the extent caused by a Released Party's gross negligence, reckless or wanton misconduct, willful or intentional misconduct, or fraud. It also does not waive any right or remedy that cannot lawfully be waived, including any nonwaivable right under applicable federal or state securities law. A Presenting Firm or presenter is not a Released Party solely because it participates in the Event.
To the fullest extent permitted by law, no Released Party will be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any lost profits, lost opportunity, lost investment, or loss of principal. Except for liability that cannot lawfully be limited, the aggregate liability of all Released Parties for all claims arising out of or relating to the Event will not exceed the greater of the registration fee you actually paid to REPC or one hundred dollars ($100).
16. Indemnification. You will indemnify, defend, and hold harmless the Released Parties from all claims, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of your breach of these Terms, your conduct at the Event, or any transaction or relationship you enter into with any person met at or through the Event.
17. Governing Law; Venue. These Terms are governed by Minnesota law without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Event will be brought exclusively in the state or federal courts located in Hennepin County, Minnesota, and you consent to the personal jurisdiction of those courts.
18. General. These Terms are the entire agreement between you and REPC regarding the Event and supersede any prior or contemporaneous statements or understandings. If any provision is held unenforceable, the remainder remains in effect. REPC's failure to enforce any provision is not a waiver. You may not assign these Terms. Your electronic acceptance, including checking a box during registration, has the same effect as a handwritten signature. Sections 2 through 8 and 14 through 18 survive the conclusion of the Event.
I consent to REPC disclosing my email address and any telephone number I provide to the Presenting Firms so they may contact me about their businesses, products, services, and investment opportunities. This consent is optional and is not a condition of registering for or attending the Event. I may withdraw this consent before REPC discloses the information by contacting [email protected]. Withdrawal does not affect a disclosure already made, and after disclosure I must contact the applicable Presenting Firm regarding its future communications.
